Terms of Service
These Terms of Service ("Terms") govern the agreement between MOA DVM ("we", "us", "our") and the client ("you") for the provision of social media management, content creation, graphic design, Google visibility, and advertising services. By engaging MOA DVM, you confirm you have read and agree to these Terms.
1. Services
MOA DVM will provide the services as outlined and agreed upon in writing (via email or WhatsApp) prior to the start of work. The specific scope, deliverables and pricing will be confirmed before any work begins.
- Services are provided on a monthly retainer or project basis, as agreed.
- Any additional work outside the agreed scope will be quoted separately and requires written approval before proceeding.
- We reserve the right to decline or withdraw from a project at any time if we reasonably believe it conflicts with our values or legal obligations.
2. Payment
Payment terms will be confirmed in writing prior to commencement of services.
- Monthly retainer fees are due at the start of each billing period.
- Invoices for project-based work are payable within 7 days of issue unless otherwise agreed.
- Late payments may result in a pause or suspension of services without notice.
- All fees are exclusive of any applicable taxes unless stated otherwise.
3. Intellectual Property
Upon full payment, you own the final deliverables (photography, video, graphics) created specifically for your business. However:
- MOA DVM retains the right to display work in our portfolio and case studies unless you request otherwise in writing.
- We retain ownership of any proprietary tools, templates or processes used to produce the work.
- Third-party assets (fonts, stock elements) remain subject to their original licences.
4. Client Responsibilities
To allow us to deliver the best possible service, you agree to:
- Provide accurate information about your business, products and any relevant branding guidelines.
- Grant us the necessary access to social media accounts, Google Business Profile and other platforms as required.
- Respond to queries and approval requests within a reasonable timeframe (typically 48 hours).
- Ensure all content you provide to us is lawful and does not infringe third-party rights.
5. Content Approval
Where applicable, we will submit content for your review before publishing. Approval will be assumed if no feedback is received within 48 hours of submission unless an alternative arrangement has been agreed.
6. Cancellation
- Either party may terminate a monthly retainer with 30 days' written notice.
- Project-based work may be cancelled prior to commencement; any work already completed will be invoiced at a fair rate.
- No refunds are issued for completed work or for the current billing period at the time of cancellation.
7. Limitation of Liability
MOA DVM will exercise reasonable care and skill in performing all services. However:
- We do not guarantee specific results, including follower counts, engagement rates, review scores or search rankings.
- We are not liable for any indirect, consequential or incidental loss arising from the use of our services.
- Our total liability to you in respect of any claim shall not exceed the total fees paid by you in the three months preceding the claim.
8. Confidentiality
Both parties agree to keep confidential any sensitive business information disclosed during the engagement and not to share it with third parties without written consent, except as required by law.
9. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Changes to Terms
We may update these Terms from time to time. We will notify active clients of any material changes with reasonable notice. Continued engagement with our services following such notice constitutes acceptance of the revised Terms.
